Excellent Resource - Esp. for Litigators Transitioning to Transactional Practice 5 out of 5 stars.

I have been litigating on behalf of clients for the past 4 years. For the most part, I see the pitfalls, head aches and problems recognized long after the parties celebrated signing a new deal. Then a client came to me with a request-- he asked me to help negotiate his contract keeping an eye on the issues with litigation potential. (Quite a refreshing request I might add) Shifting gears, I had to brush up on current contract drafting practices and strategy. This book provided an excellent resource as to structure, potential interpretations, expectations, timing of the exchange of drafts.... well written, many areas covered quickly, not labored or too vague. I recommend this book along with Tina Stark's Negotiating Contract Boilerplate for practical contract drafting and review information. And if Charles Fox writes another book - I'd love a copy! Thanks!

the book is the text book of my business law class. it is new edition so the used item is not available. It is listed 200 bucks in the bookstore in our college, but i got 150 on amazon. the shipping is free and fast. I received this book in a week after i placeed the order. It is brand new and in perfect condition. satisfied with the price and the book.

Was the Boston Tea Party the first WTO-style protest against transnational corporations? Did Supreme Court sell out America's citizens in the nineteenth century, with consequences lasting to this day? Is there a way for American citizens to recover democracy of, by, and for the people?

Thom Hartmann takes on these most difficult questions and tells a startling story that will forever change your understanding of American history. He begins by uncovering an original eyewitness account of the Boston Tea Party and demonstrates that it was provoked not by "taxation without representation" as is commonly suggested but by the specific actions of the East India Company, which represented the commericial interests of the British elite.

Hartmann then describes the history of the Fourteenth Amendment--created at the end of the Civil War to grant basic rights to freed slaves--and how it has been used by lawyers representing corporate interests to extend additional rights to businesses far more frequently than to freed slaves. Prior to 1886, corporations were referred to in U.S. law as "artificial persons." but in 1886, after a series of cases brought by lawyers representing the expanding railroad interests, the Supreme Court ruled that corporations were "persons" and entitled to the same rights granted to people under the Bill of Rights. Since this ruling, America has lost the legal structures that allowed for people to control corporate behavior.

As a result, the largest transnational corporations fill a role today that has historically been filled by kings. They control most of the world's wealth and exert power over the lives of most of the world's citizens. Their CEOs are unapproachable and live lives of nearly unimaginable wealth and luxury. They've become the rudder that steers the ship of much human experience, and they're steering it by their prime value--growth and profit and any expense--a value that has become destructive for life on Earth. This new feudalism was not what our Founders--Federalists and Democratic Republicans alike--envisioned for America.

It's time for "we, the people" to take back our lives. Hartmann proposes specific legal remedies that could truly save the world from political, economic, and ecological disaster.

The product in itself was exactly what I needed. I am taking a Business Law class as part of my curriculum in Business Administration. I have found the the book is very informative but a little dry in reading. I was pleased with the speed of how the product was shipped but displeased in the condition it arrived in for part of the binding was literally cut down the bottom. It hasn't caused any issues for use but I know I will not be able to sell the book back to anyone without losing half of what I paid for it. My advice is to be aware of what you are buying and make sure that you ask the right questions. This was my first item bought off Amazon and it was much needed for class becuase the bookstore ran out and would be a while before getting any in so really there was little to no room for argument with the vendor. Anyway make sure you ask question and be aware that New does not always mean New!!!!!

Inc for Dummies is not just for dummies, it is a good book on How To Incorporate, but you will need more.

Some additional books icnlude How To Incorporate: A Handbook for Entrpreneurs and Professionals by Michael R. Diamond. How To Incorporate in Any State: Everything You Need to Form a Corporation by W. Dean Brown. S- Corporations by Robert Cooke.

Form Your Own Corporation and Launch a Business in Any State and The Small Business Kit by J.W. Dicks.

Use the dummies book as a starter guide. Use the other books for the real meaty information. Be careful what you buy, the marketplace is proliferated with books by self proclaimed experts who read a lot but have no real world experience.
