This book provided me with the essential information an LLC owner needs to avoid trouble with the IRS and the courts. This book contains a lot of practicle information, useful forms and many real life examples. It covers meeting minutes preparation, record keeping and the updated Federal 2003 Tax Act. This is a must book for any LLC owner!

This book focuses on the 11 men, lawyers and bankers, who are responsible for the creation of Wall Street's merger industry. It specifically concentrates on the events and personalities who dominated Wall Street during the takeover battles of the 1970s and 1980s. Lawyers Joe Flom and Marty Lipton, the godfathers of modern M&A, educated bankers on takeover laws and regulations as well as tactics. Flom and Lipton were also superlative businessmen who built their own firms to become Wall Street powerhouses. The two men drew into their orbit a circle of bankers. Felix Rohatyn, Ira Harris, Steve Friedman, Geoff Boisi, Eric Gleacher and Bruce Wasserstein were close to Lipton. Robert Greenhill and Joe Perella were close to Flom.

M&A Titans provides insight into the culture of the different investment banks and how each of the bankers influenced the firms they worked in as they became more powerful. Some such as Gleacher, Harris, Wasserstein, Perella and Greenhill clashed with the men running their firms and left. Others such as Friedman and Boisi stayed and profoundly influenced how the firm did business. The career of Michael Milken, perhaps the notorious name on Wall Street in the 1980s, is also examined as well as the actions and tactics of his firm, Drexel Burnham Lambert. Milken and Drexel paved the way for the growth of private equity and helped popularize attacks on management by investors such as Boone Pickens and Carl Icahn.

Caution: This book resulted in a several pound gain caused by a Twin Bings, a few Idaho Spuds, and a box of Old Faithfuls (wonderful!). All in all, a very expensive and hazardous book!

Rather than giving a bunch of formulas to use in Excel, this book actually tries to impart you some knowledge of real world.
While the knowledge maybe old hat for experienced stock analysts, it is NOT for new comers to the field.
And for the Excel script MBAs who try to reduce everything to an equation, sorry dudes.
This book attempts to make u first understand the purpose, goal, and results you would get in a analysis, and then goes about teaching you that analysis.

At some point in most careers one considers the idea of starting a business. Some people want to pursue a dream, some figure they can beat the boss at his or her own game, and for some people unemployment forces the issue.

US Customs tells us most international traders are small businesses, and world trade continues to grow rapidly. Given the improvements in transportation and communication worldwide, inevitably now small business in USA has some international component...some more than others.

Surely there is no safer investment for your time and money than self-employment. Surprisingly, for many who start their own businesses, making money is not always the prime motivator. Nonetheless, recent studies provide some remarkable information about self-employment: 80% of the millionaires in USA became so in their own career - 2/3rds are self-employed; the self-employed are four times more likely to be millionaires than others. Innovation is rapidly becoming democratized. Users, aided by improvements in computer and communications technology, increasingly can develop their own new products and services. These innovating users—both individuals and firms—often freely share their innovations with others, creating user-innovation communities and a rich intellectual commons. In Democratizing Innovation, Eric von Hippel looks closely at this emerging system of user-centered innovation. He explains why and when users find it profitable to develop new products and services for themselves, and why it often pays users to reveal their innovations freely for the use of all.

The trend toward democratized innovation can be seen in software and information products—most notably in the free and open-source software movement—but also in physical products. Von Hippel's many examples of user innovation in action range from surgical equipment to surfboards to software security features. He shows that product and service development is concentrated among "lead users," who are ahead on marketplace trends and whose innovations are often commercially attractive.

Von Hippel argues that manufacturers should redesign their innovation processes and that they should systematically seek out innovations developed by users. He points to businesses—the custom semiconductor industry is one example—that have learned to assist user-innovators by providing them with toolkits for developing new products. User innovation has a positive impact on social welfare, and von Hippel proposes that government policies, including R&D subsidies and tax credits, should be realigned to eliminate biases against it. This thorough, detailed book focuses on the misunderstood aspects of merger and acquisition management. Timothy J. Galpin and Mark Herndon clearly have vast experience and draw on case studies to illustrate their suggestions. They provide sample surveys and integration flow charts to guide hands-on planning, and offer practical advice that you can apply in real-world situations. Not all of these ideas are new, nor do the authors claim them to be. Instead, they apply the most relevant ideas from management and psychology to M&A. The authors hammer home an extremely consistent message: You must communicate. They present their ideas clearly, even though the book is often wordy and uses a lot of passive voice (alas, business prose). Nonetheless, this is actually a very dense book and the authors are careful not to waste the reader's time. This is essential reading for virgin M&A managers, and we at getAbstract think that even experienced acquirers may find much to learn.

This book shook the music world when it was first released, which was when I first read it. I just recently picked it up and read it again, and it was still an equally mind-blowing experience.
What was with those guys? Why did they feel the need to rip off every artist to the maximum possible extent? Couldn't they still have been just as powerful, just as legendary, and very nearly as wealthy, if they'd paid the artists the few pennies per record or airplay that would have been their rightful compensation for creating the music that rocked the world and brought billions of international dollars into American coffers?
Whatever happened to Dennis Waitley and his "win-win" scenarios? You don't hear much about him any more. Perhaps his concepts were too anathematic to the American mindset. Whatever happened to the concepts of "noblesse oblige," and "from those who have received much, much is expected"? Whatever happened to "a rising tide lifts all boats"? Whatever happened to the Magna Carta, the Renaissance, the American Revolution, the French Revolution, and all the other movements that raised the world to the dizzying heights it once achieved?
I guess they've been replaced by that all-American concept, "whoever dies with the most toys wins."
As we watch the rich get richer and the poor get poorer, and rising fuel prices cause the American dream to recede into the sunset while our beloved representative republic slips back toward medieval fuedalism; as we watch American corporations, once looted from without by corporate raiders, now being looted from within by greedy and/or incompetent executives with golden parachutes while their stockholders, employees and retirees have their lives decimated, we can at least hope that what we do here will stand forever as an example to the rest of the world of how NOT to live.
Osama bin Laden, in his famous "letter to America," called us the worst civilization the world has ever seen, wallowing in decadence and depravity and calling it the height of individual freedom. Could he have been right?
This book gives the reader a valuable opportunity to take a close-up look at one of the foundation pillars of our economy and our culture, and witness the process by which America is rotting from within.

Well, what can I say, I simply love the book. It has reminded me that when it comes to communication, we are all human beings not machines. We have feelings and different situations at every moment of our lives; we need to remember all this when deciding to play the communication game.

To some, the elements of communication mentioned in the book are taken for granted basics but, for some others, it is a guideline to learn how to communicate better. Simply put, not every one is born with the give of "gap-ping". Let it be face-to-face conversations, emails, letters, blogs, IM and/or all other ways of communications, we must have some guidelines.

This text provides the reader with the guidance of learning basic to professional techniques of communication; not only do we learn how to use clarity, conciseness, etiquette when writing to others, but also teach us to learn to recognize the audience which, in a era of globalization, is of most importance. The authors of the books point out our cultural diversities and remind us to treat each other with respect, patience and understanding.

I could say much more of the text, but as you probably figured out, I am a student and have only read up to Chapter 7. So much to read, so much to learn! I am so thrilled to have come across this book and be able to keep up with the trends of communication and the reminder, that unfortunately, we all need once in a while when it comes to communicate with each other. This book not only applies to professional life but every day life as well. I could go on and on with the thoughts this book has provoked in me but, maybe, I will get back with more to say once I finish reading the book. Do not miss the chance to read it!

In this remarkable book, Vandana Shiva effectively contrasts corporate command-and-control methods of food production with the small farmer economy that predominates in the third world (especially in her native India). In contast to what many here in the U.S. might perceive as the conventional wisdom, Shiva makes a strong argument that local, small scale agriculture is superior to the agribusiness model for a number of reasons.

First, Shiva points out that many of the productivity gains attributable to the Green Revolution were achieved by dramatically increased inputs of fertilizer, seed and water. When one compares units of input with units of output, however, native practices produce higher yields -- especially when one takes into account the multiple uses derived from a single product.

For example, mustard oil is a vital product used by many of India's poor for cooking, seasoning, medicine and other uses. But it has been banned by the Indian government (under highly suspicious circumstances) in order to allow imports of soybean oil products. While giant corporations benefit from expanded sales, native industries have been destroyed, contibuting to poverty and malnourishment.

Shiva discusses the commercial fishing and aquaculture (shrimp farming) practices that inevitably result in environmental destruction and reduced catches. She compares this short-sighted approach with traditional Indian fishing techniques that have successfully sustained themselves for generations while protecting important ecosystems such as mangrove forests.

Shiva discusses corporate patenting of seeds, which insidiously transforms the cooperative ethic of seed sharing into a criminal offense. The author supports a non-cooperation movement in India that is resisting corporate attempts to claim ownership of seeds that have been cultivated by countless generations of farmers.

Shiva's sacred cow / mad cow metaphor effectively and appropriately contrasts agribusiness with small farming. India's sacred cows live in harmony with the environment, performing multiple services and producing multiple products for the community; whereas mad cows are a grotesque manifestation of an industrial system obsessed with uniformity, technology and profit.

Shiva also touches on the topic of genetic engineering (GE) and discusses the threat it poses to biodiversity, food safety and human health.

The Afterword to the book alludes to the WTO protests in Seattle. Shiva believes this watershed event proves that people are becoming more aware of the dangers of unaccountable corporate power, yet she believes that positive change is possible. This opening of consciousness to new possibilities may be attributable to the extraordinary work of people like Vandana Shiva, whose intelligence and compassion is abundantly evident in this book. Highly recommended!
